General Terms and Conditions – Logic Chemie B.V.

Article 1: Applicability

1.1 These conditions apply to all offers from Logic Chemie and all orders to Logic Chemie for the sale and delivery of products, as well as to all agreements with Logic Chemie related to such offers or orders.

1.2 The applicability of any conditions of the other party or customer of Logic Chemie (hereinafter referred to as the buyer) is hereby expressly excluded.

1.3 Provisions that deviate from these conditions can be invoked by the buyer only if, and to the extent that, those provisions are accepted in writing by Logic Chemie. Verbal agreements or customary practices of the buyer are binding on Logic Chemie only if and to the extent that Logic Chemie has agreed to them in writing.

Article 2: Definitions

Products: chemicals, cleaning agents, detergents, disinfectants and similar items.
Buyer: the other party or customer of Logic Chemie.
Force majeure: any circumstance outside the control of Logic Chemie, whether foreseen or unforeseen at the time of concluding the agreement, which wholly or partly impedes or seriously hinders Logic Chemie’s fulfillment of the agreement. This includes (but is not limited to) issues such as production of insufficient quality, production difficulties in Logic Chemie’s business or its suppliers, transportation problems, viral outbreaks, labor strikes, government measures, fire, water damage, frost or storm damage, disruptions in the supply of raw materials, water or energy, and failure of or delays by suppliers for any reason.
Usual trading quality: a product quality deemed to be at least average within the Dutch cleaning agents industry (supply side).

Article 3: Offers, Orders and Agreements

3.1 All offers made by Logic Chemie (whether in webshops, on websites, in product catalogues, on order lists, in specific quotes, or any other online offers) are non-binding. Therefore, Logic Chemie can refuse any order based on such an offer within 7 days from the order date without providing a reason.

3.2 Orders placed by the buyer are irrevocable once submitted.

3.3 Verbal orders, including those placed through intermediaries, result in a binding agreement either as confirmed in writing by Logic Chemie or, if no written confirmation is provided, as evidenced by Logic Chemie’s actual fulfillment of the order.

3.4 If at any time before, during, or after entering into an agreement, Logic Chemie provides any advice (of whatever nature), such advice will only form part of the agreement (or be considered a separate agreement) and only have legal effect if the advice was given in writing and the buyer has agreed in writing to pay a separate fee for it.

3.5 Logic Chemie offers no guarantee or warranty that the products will achieve the purpose or result the buyer intends. This applies even if Logic Chemie has provided advice regarding the use of the products for that intended purpose or result.

Article 4: Reselling of Products

4.1 The buyer purchases the products solely for their own use. Reselling the products is not permitted unless expressly agreed upon in writing with Logic Chemie.

4.2 The buyer is not allowed to give the impression that they are the producer or an authorized distributor of the products. For example, the buyer must not use Logic Chemie’s trade names or present the products in a manner that suggests the buyer is the manufacturer or official distributor.

Article 5: Prices, Amounts and Weights

5.1 Unless stated otherwise, all quoted prices are exclusive of any taxes, duties, or levies imposed by any government on the products (whether before or at the time of delivery or export). Prices are also exclusive of any transport or shipping costs that are paid by Logic Chemie.

5.2 If, after the agreement has been concluded but before delivery, any factor determining the cost price of the products increases (including changes in applicable currency exchange rates), Logic Chemie is entitled to increase the agreed price accordingly. If the price is increased by more than 15%, the buyer has the right to rescind (cancel) the agreement by giving written notice to Logic Chemie within 7 days after being informed of the price increase.

5.3 If an order’s requested quantity does not match Logic Chemie’s standard packaging quantities or their multiples, Logic Chemie is entitled to deliver the next higher standard quantity and charge accordingly.

Article 6: Delivery Period and Delivery

6.1 Any delivery periods stated by or agreed with Logic Chemie are approximate. If no specific delivery period is stated or agreed, delivery will take place within a reasonable time.

6.2 The delivery period is based on the circumstances known at the time the agreement is made and on the assumption of timely delivery of all necessary materials or products by third-party suppliers. If a delay occurs due to new circumstances arising after the agreement is concluded, or due to late delivery by third parties, the delivery period will be extended by a period that is reasonable under the circumstances.

6.3 If the buyer (not a consumer) is located in an EU Member State other than the Netherlands, the buyer must provide Logic Chemie with its VAT identification number in writing. The buyer shall also furnish any information and documentation that Logic Chemie requires as proof that the products have been delivered to a destination outside the Netherlands. The buyer will indemnify Logic Chemie against any claims and bear all negative consequences arising from the buyer’s failure to fully comply with these requirements. Furthermore, Logic Chemie reserves the right to increase the price by the applicable Dutch VAT rate if the buyer cannot adequately prove that the delivery was made outside of the Netherlands (as such a sale would then be treated as a domestic sale subject to VAT).

Article 7: Refund Policy

7.1 Refunds for Consumers (B2C Transactions)

  • a. Consumers may withdraw from a distance contract within 14 days of receipt without reason.
  • b. Written notice must be provided to Logic Chemie within this period.
  • c. Products must be returned within 14 days at the consumer’s expense, unused and unopened.
  • d. Opened or used products cannot be refunded for hygiene and safety reasons.
  • e. Refunds will be made within 14 days upon inspection.
  • f. The right of withdrawal does not apply to personalized, perishable, or opened products.

7.2 Refunds for Business Customers (B2B Transactions)

  • a. No refund applies unless explicitly agreed in writing.
  • b. Products must be unused, unopened, and in resalable condition.
  • c. Logic Chemie may charge up to 20% restocking fee.
  • d. Buyer bears all return costs and risks.
  • e. Refunds will be processed within 30 days after approval.

7.3 Exceptions
Refunds are not possible for mixed, processed, relabeled, or damaged products due to improper storage or handling.

Article 8: Reservation of Title

8.1 Products remain Logic Chemie’s property until full payment is made. If the buyer defaults, Logic Chemie may reclaim products. The buyer must cooperate with such recovery.

8.2 The buyer must store such products carefully and keep them identifiable as Logic Chemie property.

Article 9: Complaints

9.1 Logic Chemie guarantees usual trading quality; the buyer must inspect products immediately upon delivery.

9.2 Visible issues must be reported within 12 hours.

9.3 Functional or quality issues must be reported immediately and no later than 60 days after delivery.

9.4 Products under complaint must remain available for inspection.

9.5 Claims are void if deadlines are missed or products are altered, resold, or damaged.

9.7 If a complaint is valid, Logic Chemie will repair, replace, or credit the affected amount—no further compensation applies.

Article 10: Liability

10.1 Liability is limited to replacement, repair, or credit.

10.2 Safety instructions must always be followed. Logic Chemie is not liable if instructions are ignored.

10.3 No liability for indirect or consequential damages unless due to intent or gross negligence.

10.4 Any damages are limited to the product’s invoice value or the insurer’s payout.

10.5 Claims expire 12 months after arising.

10.6 Protections apply equally to Logic Chemie’s employees and contractors.

10.7 The buyer indemnifies Logic Chemie against third-party claims.

Article 11: Payment

11.1 Invoices must be paid within the specified term. Late payments incur statutory interest automatically.

11.2 Business buyers also owe collection costs of 10% of the unpaid amount (minimum €250).

Article 12: Rescission and Suspension

12.1 Logic Chemie may suspend or terminate the agreement if the buyer fails obligations, becomes insolvent, requests suspension of payment, liquidates business, or assets are seized. Damages may be claimed.

12.2 Non-consumer buyers cannot cancel once orders are received. If canceled, full payment remains due.

Article 13: Disputes and Applicable Law

13.1 All disputes (except those involving consumers) fall under the exclusive jurisdiction of Rotterdam District Court, the Netherlands.

13.2 Logic Chemie may also choose another competent court as per law or treaties.

13.3 Dutch law applies. The Vienna Sales Convention (CISG) does not apply.
